Welcome to Santé House. These Terms of Service (“Terms”) govern your use of our website, one-time project services, and House Plans™ monthly retainers. By engaging with Santé House (“we,” “us,” “our”), you agree to these Terms. Please read them carefully.
1. Website Use
1.1 General Access – Your access to and use of the Santé House website is conditioned upon acceptance of these Terms.
1.2 Accuracy of Information – While we strive for accuracy, we make no warranties as to completeness or suitability. Information may contain errors, and we exclude liability to the fullest extent permitted by law.
1.3 Privacy – Your use of our website is also governed by our Privacy Policy.
2. General Project Services (One-Time Projects)
2.1 Timeline – Project timelines will be provided. Client delays may affect delivery.
2.2 Revisions – Each project phase includes up to two rounds of revisions. Additional revisions may be billed separately.
2.3 Final Files – Deliverables provided in standard formats (SVG, PNG, JPG, PDF). Editable/source files may be included where appropriate.
2.4 Client Responsibilities – Timely feedback, assets, and approvals are required to maintain schedule.
2.5 Scope of Work – Covers only agreed deliverables. Additional requests are billed separately.
2.6 Payment – 50% deposit due upfront. Remaining 50% due before delivery of final files. Late payments may incur fees.
2.7 Communication – Communication occurs via email or Slack. Social media DMs/texts are not monitored.
2.8 Rush Fees – Expedited delivery may incur additional fees.
2.9 Ownership – Final deliverables transfer upon full payment. Drafts and unused concepts remain property of Santé House.
2.10 Cancellation – Either party may terminate in writing. Deposits are non-refundable; partial refunds are not issued once work begins.
3. House Plans™ Monthly Retainers (Subscriptions)
3.1 Legacy Clients – House Plans™ were formerly known as Premier Pass. Clients under the previous naming are bound by these Terms.
3.2 Timeline – Monthly retainers follow a rolling calendar cycle aligned with marketing deliverables.
3.3 Revisions – Small refinements included. Significant strategic shifts may be billed separately.
3.4 Deliverables – Outlined per plan tier. Custom outputs or expanded formats may incur fees.
3.5 Client Responsibilities – Timely approvals, assets, and feedback are required.
3.6 Scope of Work – Only agreed deliverables are included. Add-ons billed separately.
3.7 Payment – Billed automatically in advance via saved payment method. Work may pause if payment fails.
3.8 Communication – Managed via email or Slack. Personal messages/DMs are not monitored.
3.9 Pausing – Retainers may be paused with 14 days’ notice before billing. Pauses limited to 60 days. Restart fees may apply.
3.10 Upgrades/Add-Ons – Can be added anytime; billed on the next cycle unless prorated.
3.11 Cancellation – 30 days’ written notice required before next billing date. No refunds for unused time.
3.12 Minimum Commitment – Growth Plans and standalone add-ons require a 3-month minimum. Essentials Plans require a 3-month minimum only on added services.
3.13 Product Shipments & Responsibilities
3.13.a Clients are responsible for covering all shipping costs, customs duties, import taxes, or brokerage fees associated with sending products to Santé House. If Santé House incurs such costs, they will be invoiced separately and must be paid in full before deliverables related to those products are released.
3.13.b Clients acknowledge that Santé House may, from time to time, request additional product samples as reasonably required to fulfill marketing deliverables (e.g., content creation, product photography, social media assets). Clients agree to provide such items promptly and at no additional cost to Santé House.
3.13.c Products provided are considered samples and will not be returned unless otherwise agreed in writing.
4. Fees, Currency & Taxes
4.1 Currency – Canadian clients will be billed in CAD. U.S. and international clients will be billed in USD.
4.2 Taxes – All prices are exclusive of sales tax, GST, VAT, or other applicable taxes. Taxes are added based on the client’s billing address at the time of invoicing.
4.3 Refunds – Deposits and subscription payments are non-refundable. No prorated refunds are issued.
4.4 Collections – Unpaid balances may result in suspension of services, late fees, and recovery of collection/legal costs.
5. Intellectual Property & Portfolio Use
5.1 Ownership – Clients own final deliverables only upon full payment.
5.2 Usage Rights – Santé House retains the right to showcase completed work in our portfolio, website, and marketing unless a written NDA states otherwise.
5.3 Client Materials – Clients represent that all assets provided (logos, copy, product claims, etc.) do not infringe third-party rights and agree to indemnify Santé House against related claims.
6. Liability & Disclaimers
6.1 Limitation of Liability – Santé House is not liable for indirect, incidental, or consequential damages, including but not limited to lost profits or business interruptions.
6.2 No Guarantees – While we provide strategic and creative expertise, results depend on many external factors. We do not guarantee specific outcomes (e.g., sales, revenue, engagement).
6.3 Force Majeure – We are not liable for delays caused by circumstances beyond our control (e.g., platform outages, strikes, pandemics, natural disasters).
7. Subcontractors
We may engage vetted subcontractors or contractors to deliver services. Santé House remains responsible for quality and performance.
8. Dispute Resolution
Disputes shall first be addressed through good faith negotiation. If unresolved, parties agree to mediation, and if necessary, binding arbitration before pursuing litigation.
9. Amendments & Updates
Santé House may update these Terms from time to time. Material changes will be communicated, and the most recent version will govern ongoing services.
10. Survivability
Provisions relating to intellectual property, payment, limitation of liability, and confidentiality survive termination or cancellation.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to conflict of law principles. Clients located outside of Canada acknowledge that services are performed from Canada and agree that any disputes will be subject to the jurisdiction of Quebec courts, unless otherwise mutually agreed in writing.
12. Entire Agreement
These Terms, together with any signed agreements, addenda, or policies, constitute the entire agreement between you and Santé House.
