Premier PasS Terms

Welcome to Santé House's Premier Pass, the ultimate support package designed exclusively for our valued clients. By proceeding with the Premier Pass subscription, you acknowledge and agree to the following terms and conditions:

Subscription Overview
Premier Pass provides ongoing design support for your business needs, offering both Lite and Premium options. Each subscription includes monthly website maintenance, regular SEO health checks, and updates for copy and imagery. Additionally, there are monthly website traffic reports and quarterly analytics. The Lite plan includes a 10-hour time allocation per month, while the Premium plan offers an additional 10-hour time allocation for all design collateral work.

Plan Offerings
Premier Pass offers two subscription options: Lite and Premium. Each subscription is designed to provide ongoing design support tailored to your business needs.

1. Lite Option
Monthly website maintenance
Regular SEO health checks
Copy and imagery updates
Monthly website traffic reports
Quarterly analytics
10 hour time allocation per month

2. Premium Option
Includes all features of the Lite option
Additional 10 hours per month allocated for design collateral work, such as print design and social assets.

Please note that the inclusions for each plan are subject to change. We reserve the right to update and modify the inclusions within our policy at any given time. Any changes will be communicated through our official communication channels, and the most recent policy will always be available for review.

No Lock-In Contracts
Clients can request to terminate their plan at any time by providing formal written notice one month before the scheduled cancellation date. Overages will be prorated and billed in a final invoice, payable within the terms stated on the invoice. Clients wishing to renew their Premier Pass plan in the future must agree to the updated terms and conditions, which may include price increases or scope adjustments. Additional Hours
If you require more hours per month, we'll discuss your project needs during our monthly check-in meeting. Flexibility is a priority, and we'll accommodate as best as possible to meet your requirements.

Unused Hours
Unused hours do not carry over to the next month. We strive to optimize your investment by utilizing all hours effectively. Adjustments may be made on a case-by-case basis to ensure your satisfaction.

Confidentiality
We uphold the confidentiality of all materials provided by the client and do not disclose them to third parties without written consent. Final work may be displayed on our website.

Payment
Upon selecting your desired Premier Pass option and confirming via email, you'll receive a link to set up your recurring payment. Payment must be processed successfully to initiate the Premier Pass subscription.

Payment Failure
If a payment fails and is not resolved within 3 business days, we reserve the right to halt all work until payment is successfully processed.

Renewal Process
The renewal process happens automatically on the 1st of every month through our online payment system. Clients are responsible for ensuring their payment details are up to date. We will notify clients of any payment issues and offer a 5-day grace period to resolve them before considering further action, including contract termination.

Fee Increase Notification
We will notify clients one month ahead of any fee increase, limited to a maximum of two times per calendar year. Clients have 10 business days to respond from receiving the initial price increase notice if they wish to discuss or adjust their Premier Pass. After 10 days, the system will be updated to the new scheduled price.

Modification of Terms
Clients have the option to discuss any potential changes to their Premier Pass within 10 days of receiving written notice. Custom pricing will not be created, but the agency reserves the right to offer individual discounts off standard rates. If the client does not initiate any discussion within the first 10 days, the new agreement set out by the agency will continue. Clients reserve the right to cancel or downgrade their Premier Pass plan within the one-month notice term outlined in the plan cancellation section of this policy.

Cancellation
We reserve the right to cancel a client's Premier Pass subscription and contract under circumstances including unpaid invoices over five business days, lack of communication, client behavior deemed offensive or disruptive, or excessive micromanaging hindering progress. In cases where the agency is no longer fit to service the client, a 3-month notice will be provided.

Client Responsibilities
Clients are responsible for clear communication and prompt responses. They should provide content or assets when requested to facilitate agreed-upon work.

Response Time
We strive to respond to emails within 24 hours during business days, ensuring swift communication for efficient project collaboration.

Limitation of Liability
While the agency works to avoid copyright issues and other forms of legal liabilities, any work handed over to the client includes full responsibility for all liabilities, including copyright infringement.

Intellectual Property (IP)
The agency retains the Intellectual Property (IP) rights for all design structures, allowing for repurposing, including but not limited to selling packaged designs for profit. The agency commits to removing any client-branded content and copy before making these designs available for purchase. Exclusive rights to any design work must be discussed before the final handover stage and may result in additional costs.
